Flampo Terms of Service

These Terms of Service ("Terms") govern your access to and use of Flampo.com and related applications, features, tools, and services (collectively, the "Platform" or "Service") operated by Flampo Inc., a Delaware corporation ("Flampo," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy and Cookies Policy, which are incorporated by reference. If you do not agree, you must not use the Platform.

1. The Platform and Our Role

Flampo is a sports and games management platform that provides software tools for athletes, coaches, parents or guardians, teams, clubs, organizations, schools, venues, programs, and competition organizers.

Depending on how the Platform is used:

Flampo may act as a service provider offering subscription-based or usage-based tools ("Platform Products"); and/or
Flampo may act solely as a technology and payment facilitator for transactions between users, organizations, or competition participants ("Marketplace Transactions").

Except where expressly stated otherwise, Flampo is not the organizer, sponsor, operator, or manager of sports activities, events, or competitions, and does not control how Activities are conducted.

2. Eligibility and Accounts

2.1 Account Creation

You must create an account to access certain features. You agree to provide accurate, current, and complete information and to keep your account information updated.

2.2 Minors

The Platform is available to users of all ages. However:

Users under 18 must use the Platform with the knowledge, permission, and supervision of a parent or legal guardian.
Parents or guardians are responsible for a minor's activity on the Platform.
Minor profiles are private or restricted by default.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

3. Acceptable Use

You agree not to:

Violate any applicable law or regulation
Interfere with, disrupt, hack, or misuse the Platform
Upload malware, scrape data, or bypass safeguards
Harass, threaten, impersonate, or exploit others
Upload illegal, pornographic, abusive, or rights-infringing content
Use the Platform for gambling, wagering, or games of chance

We may suspend or terminate access for violations.

4. User-Generated Content

4.1 Ownership

You retain ownership of content you upload or submit ("User Content").

4.2 License to Flampo

You grant Flampo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, modify, and distribute User Content solely to operate, improve, and provide the Platform.

This license continues for as long as your account exists or as needed to comply with legal obligations.

4.3 Responsibility

You are solely responsible for your User Content and interactions with others. We may remove or restrict content that violates these Terms or applicable law.

5. Software License

We grant you a limited, revocable, non-transferable license to use the Platform for its intended purposes. You may not:

Reverse engineer or resell the software
Use the Platform to build a competing product
Circumvent technical restrictions

Updates may be applied automatically.

6. Competitions, Activities, and Fees

6.1 Participation Fees

Some competitions or activities may require payment of a participation or join fee ("Join Fee").

Join Fees cover administrative, operational, and platform-related costs.
Join Fees do not influence rewards or prizes.

6.2 Rewards and Prizes

Rewards are funded solely by organizers or sponsors.
Reward amounts are fixed before the competition begins.
Rewards do not vary based on participation fees or number of participants.

6.3 No Gambling

The Platform does not facilitate gambling, wagering, betting, or games of chance.
All competitions are skill-based and performance-based.

7. Payouts

Payments may be processed through third-party providers such as Stripe.
Rewards are paid only after verification of eligibility.
Flampo does not hold funds unless legally required.

8. Compliance With Local Laws

You are solely responsible for ensuring that any sports, games, tournaments, or events ("Activities") comply with all applicable laws in the relevant jurisdiction, including laws relating to:

Event hosting and venue requirements
Age restrictions and safety
Competition legality
Prize distribution
Online gaming or esports regulations

We may suspend or remove Activities that appear unlawful or non-compliant.

9. Taxes

9.1 Platform Products

Where Flampo is the seller of record, we calculate, collect, and remit applicable indirect taxes where required by law.

9.2 Marketplace Transactions

For user-to-user transactions:

Flampo acts solely as a facilitator
Users are responsible for their own tax obligations
We do not provide tax advice
We or our payment processors may issue legally required tax forms.

10. Non-Compete (Limited, Conditional, and Jurisdiction-Specific)

To the extent permitted by applicable law, after using the Platform for more than 14 days, organizations (including teams, clubs, schools, venues, leagues, and competition organizers) agree that, for one (1) year following cessation of use, they will not use or migrate to a directly competing sports or games management platform for substantially similar purposes using the same data, structures, or workflows derived from Flampo.

This clause:

Applies only where legally enforceable in the applicable jurisdiction
Is limited to direct substitutes offering substantially similar core functionality
Does not restrict general business activities, manual processes, or unrelated software
Is intended to protect Flampo's platform investment, data integrity, and operational know-how

If any portion of this section is found unenforceable, it shall be modified or severed to the minimum extent necessary to remain valid.

11. Fees, Billing, and Refunds

11.1 Fees

Certain features, subscriptions, products, services, or Activities offered through the Platform may require payment of fees. All prices are displayed prior to purchase unless otherwise stated.

11.2 Refunds

Refund eligibility, timing, and conditions depend on the nature of the product or service purchased and are governed by Flampo's Refund Policy, which forms part of these Terms and is incorporated by reference.

Except where required by law:

Platform access fees, subscriptions, and usage fees are non-refundable once the service period has begun
Participation or join fees for competitions are non-refundable after an Activity has commenced
Chargebacks or payment disputes may result in suspension of access

Nothing in these Terms limits mandatory consumer rights under applicable law.

12. Suspension and Termination

We may suspend or terminate access at any time for violations, legal risk, or platform integrity.
We will make reasonable efforts to allow data export where feasible.

13. Disclaimers

The Platform is provided "as is" and "as available".
We disclaim all warranties to the maximum extent permitted by law.

14. Limitation of Liability

To the maximum extent permitted by law:

Flampo is not liable for indirect or consequential damages
Our total liability is limited to the amounts you paid to us in the prior 12 months

15. Indemnification

Organizations and commercial users agree to indemnify Flampo from claims arising from their Activities, content, or misuse of the Platform.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

16.2 Arbitration

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by a recognized arbitration provider.

Arbitration will be conducted:

On an individual basis only (no class actions)
In English
In Delaware, unless otherwise agreed

16.3 Court Proceedings

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or enforce these Terms.

Where arbitration is not permitted by law, disputes shall be resolved exclusively in the state or federal courts located in Delaware.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms.
